Privacy Policy

NEEDL ("we," "us," or "our") respects your privacy and is committed to handling your personal information responsibly. This Privacy Policy describes how we collect, use, and safeguard information when you visit our website, place an order, or otherwise interact with us. • Payment information: payment card details, processed by our PCI-DSS compliant payment processor; we do not store full card numbers on our systems;

B. Information We Collect Automatically. When you visit our website, we automatically collect technical information including device type, operating system, browser, IP address, general location derived from IP address, referring URL, pages viewed, and time spent on the site. We collect this information through cookies and similar technologies for analytics, fraud prevention, and improving the user experience.

C. Information from Third Parties. We may receive information about you from third-party service providers, including payment processors, shipping carriers, address-validation services, fraud-prevention vendors, and analytics partners. We use this information solely to fulfill orders and operate our business as described in Section 2.

D. Sensitive Information We Do Not Collect. NEEDL does not knowingly collect biometric data, precise geolocation data, health or medical records, genetic information, immigration status, union membership, religious or philosophical beliefs, racial or ethnic origin, sexual orientation, or financial account access credentials. If you submit such information voluntarily (for example, in a free-text support inquiry), we will use it only to respond to your inquiry and will delete it as soon as practicable.

2. How We Use Your Information

We use the information we collect for the following purposes:

A. To process, fulfill, and ship your orders, including communicating order status, processing returns or replacements as applicable, and managing subscriptions and renewals.

B. To prevent, detect, and investigate fraudulent or illegal activity, including payment fraud, account takeover, and abuse of our services.

C. To respond to your inquiries, provide customer support, and address complaints.

D. To send transactional emails (such as order confirmations, shipping notifications, and account updates) and, where you have opted in, marketing communications about new products, promotions, and brand updates. You may opt out of marketing emails at any time by clicking the unsubscribe link in any marketing email or by contacting support@buyneedl.com.

E. To analyze website usage, improve our products and services, and develop new offerings.

F. To comply with applicable legal obligations, respond to lawful government requests, enforce our Terms & Conditions, and protect the rights, property, and safety of NEEDL, our customers, and the public.

G. In connection with a merger, acquisition, financing, reorganization, or sale of assets, in which case personal information may be transferred to the successor entity, subject to commitments in this Privacy Policy.

We will not use your personal information for materially different, unrelated, or incompatible purposes without your consent.

3. Sharing of Information

A. We Do Not Sell or Share Your Information. NEEDL does not sell your personal information for monetary or other valuable consideration, and does not share your personal information with third parties for purposes of cross-context behavioral advertising, as those terms are defined under the California Consumer Privacy Act and similar state laws. We honor Global Privacy Control signals and do-not-sell or do-not-share requests from all users.

B. Service Providers. We share information with trusted third-party service providers who assist us in operating our business, including:

• Payment processors (to process transactions);
• Shipping carriers (to deliver orders);
• Email service providers (to send transactional and marketing communications);
• Analytics partners (to understand website usage);
• Fraud prevention vendors (to detect and prevent abuse);
• Customer support platforms (to manage inquiries);
• Cloud hosting providers (to operate our website and store data).

These service providers are contractually obligated to: (i) use the information solely to perform services on our behalf; (ii) maintain the confidentiality and security of the information; and (iii) comply with applicable privacy laws.

C. Legal and Safety Disclosures. We may disclose information when we believe disclosure is necessary to (i) comply with applicable law, subpoena, or court order; (ii) respond to lawful requests from public authorities; (iii) enforce our Terms & Conditions; (iv) protect the rights, property, or safety of NEEDL, our customers, or the public; or (v) investigate suspected or actual fraud or abuse.

D. With Your Consent. We may share information for other purposes with your explicit consent.

E. Aggregated or De-Identified Information. We may share aggregated or de-identified information that cannot reasonably be used to identify you for any lawful purpose, including marketing, research, and industry analysis.

4. Your Privacy Rights

A. Universal Rights. Subject to applicable law and reasonable verification, all U.S. residents may exercise the following rights with respect to personal information NEEDL has collected about them:

• Right to Know: confirm whether we process your personal information and access the specific information we have collected;
• Right to Correct: request correction of inaccurate personal information;
• Right to Delete: request deletion of personal information we have collected from you;
• Right to Portability: receive a portable copy of your personal information in a readily usable format;
• Right to Opt Out: opt out of the processing of personal information for purposes of targeted advertising, sale of personal information, or profiling that produces legal or similarly significant effects;
• Right to Non-Discrimination: not be discriminated against for exercising any of these rights.

B. State-Specific Rights. Residents of certain states — including but not limited to California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, and Virginia — may have additional rights under applicable state privacy laws, including the Florida Digital Bill of Rights (Fla. Stat. § 501.701 et seq.) and the California Consumer Privacy Act, as amended. California residents have additional rights, including the right to limit the use and disclosure of sensitive personal information (NEEDL does not collect sensitive personal information as defined under CPRA — see Section 1(D)) and the right to receive an annual privacy notice describing categories of information collected and shared.

C. Exercising Your Rights. To exercise any of these rights, contact us at support@buyneedl.com with your name, email used at purchase (if any), and a description of your request. We will:

• Acknowledge receipt of your request within 10 business days;
• Respond substantively within 45 days, with a one-time extension of up to 45 additional days if reasonably necessary, with notice to you;
• Verify your identity through reasonable means before processing certain requests;
• Provide our response free of charge.

D. Authorized Agents. You may designate an authorized agent to make requests on your behalf. We may require proof of the agent's authorization (such as a signed letter from you or a power of attorney) before processing the request.

E. Appeals. If we deny your request, you have the right to appeal our decision by contacting support@buyneedl.com within 60 days of our denial. We will respond to your appeal within 45 days. If we deny your appeal, we will inform you of any further recourse available under applicable law, including the right to contact the relevant state attorney general's office.

F. Children. NEEDL does not knowingly process information of individuals under 18 years of age (see Section 7).

A. What Are Cookies? Cookies are small text files placed on your device by websites you visit. We use cookies and similar technologies — including web beacons, pixels, and local storage — to operate our website, understand how visitors use it, and provide an improved experience.

B. Categories of Cookies We Use:

• Essential Cookies: required for core site functionality, such as maintaining your shopping cart, processing checkout, and ensuring site security. These cookies cannot be disabled without affecting basic functionality.
• Performance and Analytics Cookies: help us understand how visitors interact with our website by collecting anonymous information about visits, page views, and traffic sources. We use this information to improve site performance and user experience.

• Use the Global Privacy Control (GPC) browser signal, which we honor as a request to opt out of the sale or sharing of personal information;

Note that disabling cookies may impair certain features of our website.

E. Do Not Track. Our website does not respond to "Do Not Track" signals from browsers, because there is no industry consensus on how to interpret such signals. We do honor Global Privacy Control signals as described above.

6. Data Retention & Security

A. Data Retention. We retain personal information only for as long as necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, enforce our agreements, and protect our legitimate interests. Specifically:

• Order and transaction records: retained for at least seven (7) years as required by U.S. tax and accounting laws;
• Account information: retained for the duration of your account and for a reasonable period thereafter to handle returns, subscriptions, and disputes;
• Marketing preferences and opt-out requests: retained indefinitely to honor your choices;
• Support and complaint records: retained for a minimum of two (2) years for quality assurance and dispute resolution;
• Analytics data: retained in anonymized or aggregated form for as long as commercially useful.

When personal information is no longer required for these purposes, we will securely delete, anonymize, or de-identify it.

B. Security Measures. We use commercially reasonable administrative, technical, and physical safeguards designed to protect your personal information against unauthorized access, disclosure, alteration, or destruction. These include:

• Encryption of payment information in transit and at rest, processed through PCI-DSS compliant payment processors;
• Restricted access to personal information on a need-to-know basis;
• Regular review of our security practices;
• Use of reputable hosting and service providers with industry-standard security certifications.

However, no method of transmission over the Internet or method of electronic storage is completely secure. While we strive to protect your personal information, we cannot guarantee absolute security.

C. Data Breach Notification. In the event of a data breach that affects your personal information, we will notify you and applicable regulatory authorities in accordance with applicable law, including state-specific breach notification requirements.

D. International Transfers. NEEDL is based in the United States, and our service providers are primarily located in the United States. To the extent any service provider processes information outside the United States, we ensure they maintain equivalent protections through contractual obligations.

7. Children's Privacy

NEEDL products and services are intended exclusively for adults 18 years of age and older. NEEDL is not directed at children and does not knowingly collect personal information from individuals under the age of 18.

We comply with the federal Children's Online Privacy Protection Act ("COPPA") and similar state laws governing the collection of information from children. We do not knowingly collect, use, or disclose personal information from children under the age of 13. If we discover that we have inadvertently collected personal information from a child under 13 without verifiable parental consent, we will delete that information promptly.

If you are a parent or guardian and believe that we may have collected personal information from your child, please contact us at support@buyneedl.com with the child's name and contact information. We will take prompt action to delete the information and prevent future collection.

For information collected from individuals between 13 and 17 years of age, additional state-specific protections may apply. NEEDL does not knowingly process or use the personal information of minors for targeted advertising, sale, or profiling without parental consent where required by applicable law.

8. Changes to This Policy

NEEDL may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or for other business reasons. The "Effective" date at the top of this policy will reflect the most recent revision.

For material changes — meaning changes that significantly affect how we collect, use, or share your personal information, or that affect your privacy rights — we will provide at least thirty (30) days' notice prior to the effective date via email to active customers and through a prominent notice on the NEEDL website. Material changes will apply only prospectively and will not affect personal information collected before the effective date except as required by applicable law.

For non-material changes (such as clarifications, typographical corrections, or reorganization), the updated Privacy Policy shall take effect immediately upon posting.

If you do not agree to a material change, you should discontinue use of our website and services and contact us to request deletion of your personal information as described in Section 4. If you have an active subscription, you may cancel without penalty prior to the effective date of any material change.

Your continued use of our website or services following the effective date of any updated Privacy Policy constitutes your acceptance of the updated policy.

For formal privacy rights requests (such as access, deletion, correction, or opt-out requests under Section 4), please follow the procedures in Section 4(C). For all other privacy questions or concerns, we aim to respond within five (5) business days.

If you are unsatisfied with our response to a privacy concern, you may have the right to contact the relevant state attorney general's office or other applicable regulatory authority.

Return Policy

All sales are final. NEEDL does not accept returns, exchanges, or issue refunds on any product, including one-time purchases and subscription orders. By placing an order and checking the consent box at checkout, you expressly acknowledge that you have read, understood, and agreed to this final-sale policy.

Why All Sales Are Final

Because NEEDL products are sterile, single-use medical-grade items individually sealed at the point of manufacture, the integrity of the product cannot be verified once a unit leaves our facility. For the safety of every customer and to maintain compliance with applicable health and safety regulations, we are unable to resell, restock, or recondition returned product. This policy is consistent with industry standards governing the distribution of medical-grade single-use items.

Damaged or Incorrect Shipments

Although we do not issue refunds, we stand behind the quality of every kit. If your order arrives visibly damaged, contains the wrong items, or is missing items listed on the packing slip, contact us within seven (7) calendar days of delivery at support@buyneedl.com with your order number and clear photographs of the package and contents. We will, at our sole discretion, ship a replacement of the affected items at no additional cost. This is a courtesy replacement and does not constitute a refund.

Subscription Cancellation

You may cancel, pause, or modify your subscription at any time before the next billing date by logging into your account or contacting support@buyneedl.com. As a courtesy, we send a reminder email before each renewal. Once a subscription order has been billed and shipped, it cannot be returned or refunded. We recommend reviewing your renewal date to avoid an unwanted shipment.

Lost Packages

NEEDL is not responsible for packages lost, stolen, or delayed by the carrier after the package has been marked delivered. If your tracking shows delivery but you have not received your package, please first check with your local carrier and neighbors before contacting support.

Chargebacks

Customers agree to contact NEEDL directly at support@buyneedl.com to resolve any issue prior to initiating a chargeback or payment dispute with their bank or card issuer. We are committed to resolving legitimate concerns in good faith, including through courtesy replacements where applicable.

Filing a chargeback without first contacting us, or filing a chargeback that NEEDL determines to be fraudulent or in bad faith (for example, disputing a charge for an order that was delivered as confirmed by carrier tracking), constitutes a violation of these terms. In such cases, NEEDL reserves the right to: (i) provide your transaction details, order records, delivery confirmation, and communication history to the payment processor and card network to contest the dispute; (ii) suspend or terminate your account; and (iii) refuse future orders. Nothing in this policy limits your rights under applicable law.

Acceptable Use & Medical Disclaimer

1. Not a Medical Device or Healthcare Product

NEEDL is a premium organizational and storage kit. NEEDL is not a medical device, pharmacy, healthcare provider, or medical service, and is not regulated as such. Nothing on the NEEDL website, in our marketing, or in our packaging constitutes medical advice, diagnosis, treatment, or a recommendation for any medical or therapeutic purpose. NEEDL does not make any claim that its products diagnose, treat, cure, mitigate, or prevent any disease or health condition.

2. No Professional Relationship

Your purchase or use of NEEDL products does not create any doctor-patient, pharmacist-patient, or other professional healthcare relationship between you and NEEDL. For any questions regarding your health or the appropriate use of any product in a medical context, consult a licensed healthcare provider.

3. Intended Use

NEEDL products are intended solely for the clean handling, organization, and storage of sterile single-use units by adults in personal or professional contexts where such organization is appropriate. You are responsible for determining whether the product is suitable for your intended purpose.

4. Your Responsibility for Lawful Use

You are solely responsible for using NEEDL products in compliance with all applicable federal, state, and local laws and regulations, including any laws governing the purchase, possession, use, and disposal of single-use units in your jurisdiction. By purchasing, you represent that such use is lawful where you reside and where the product is delivered.

5. Proper Handling and Disposal

You are solely responsible for the safe handling, storage, and disposal of any items you store using NEEDL products, in accordance with applicable health, safety, and environmental regulations. NEEDL provides organizational products only and is not responsible for the proper disposal of any items used in connection with our products. Consult your local regulations and disposal guidelines.

6. Assumption of Risk

You acknowledge and assume all risks associated with your use of NEEDL products. To the maximum extent permitted by law, NEEDL disclaims all liability for any injury, harm, or damage arising from the use, misuse, or improper handling or disposal of items used in connection with our products. See our Terms & Conditions, Sections 8 and 9, for additional warranty and liability disclaimers.

7. No Resale Without Authorization

NEEDL products are sold for end use by the purchaser. Resale, redistribution, or commercial redistribution of NEEDL products is prohibited without prior written authorization from NEEDL.

8. Certifications

Any certifications referenced in connection with NEEDL products are held by NEEDL's contracted manufacturing partner, not by NEEDL LLC. See Terms & Conditions, Section 14, for full certification disclosures.

9. Age Requirement

NEEDL products are available only to adults 18 years of age or older. See our Terms & Conditions and Privacy Policy for additional age-related provisions.

Shipping Policy

1. Order Processing

Orders are processed Monday through Friday, excluding holidays. Orders placed before 2:00 PM ET on a business day are typically processed the same day; orders placed after 2:00 PM ET, on weekends, or on holidays are processed the next business day. Processing times may be extended during periods of high volume, promotional events, or circumstances beyond our control.

2. Shipping Methods & Carriers

NEEDL ships via reputable carriers, which may include USPS, UPS, or FedEx, at our discretion. The carrier and service level are selected by NEEDL based on destination and availability.

3. Shipping Costs

Standard shipping is provided free of charge on all orders within the United States. Any applicable taxes are calculated at checkout based on your delivery address.

4. Delivery Estimates

Estimated standard delivery is approximately five (5) business days from the date of shipment, depending on your location. Delivery estimates are provided as a courtesy and are not guaranteed. NEEDL is not liable for delays caused by carriers, weather, customs, holidays, address errors, or other events beyond our reasonable control.

5. Order Tracking

Once your order ships, you will receive a shipping confirmation email containing a tracking number. Please allow up to 24 hours for tracking information to update after you receive the notification.

6. Discreet Packaging

All NEEDL orders ship in plain, unbranded outer packaging with no description of the contents visible on the exterior, consistent with our commitment to customer privacy.

7. Domestic Shipping Only

NEEDL currently ships only to addresses within the fifty United States and the District of Columbia. We do not ship to international addresses, U.S. territories, military APO/FPO addresses, or P.O. boxes. We reserve the right to refuse delivery to any address at our discretion, including any jurisdiction where the sale or possession of our products is restricted by law.

8. Address Accuracy

You are responsible for providing a complete and accurate shipping address at checkout. NEEDL is not responsible for orders delayed, misdelivered, or lost as a result of an incorrect or incomplete address provided by the customer, and such orders are not eligible for replacement.

9. Title & Risk of Loss

Title and risk of loss pass to you upon our delivery of the package to the carrier. Once a carrier confirms delivery to the address on file, NEEDL's shipping obligation is considered fulfilled. See our Terms & Conditions, Section 4, for additional detail.

10. Lost, Stolen, or Delayed Packages

Packages marked delivered by the carrier are deemed delivered. NEEDL is not responsible for packages lost or stolen after carrier confirmation of delivery. If your tracking shows delivery but you have not received your package, please first check with your carrier, neighbors, and household members, then contact us at support@buyneedl.com. Please refer to our Return Policy for details on damaged or incorrect shipments.

11. Failed Delivery & Returned Packages

If a package is returned to us as undeliverable due to an incorrect address, refusal of delivery, or failure to claim the package, we will attempt to contact you. Re-shipment may require an additional shipping charge. NEEDL is not obligated to refund orders returned as undeliverable due to customer error.

12. Subscription Shipments

For subscription (Auto-Ship) orders, shipments are processed automatically at the cadence you select (every 30, 60, or 90 days). You will receive a reminder before each renewal and may pause, skip, modify, or cancel prior to your next billing date as described in our Return Policy and Terms & Conditions.

Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the NEEDL website, products, and services. By accessing the site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Eligibility

You must be at least 18 years of age and a resident of the United States to purchase NEEDL products. By placing an order you represent and warrant that (a) the information you provide is accurate, (b) you are legally permitted to purchase, possess, and use the products in your state of residence and the delivery destination, and (c) you are not a reseller or distributor unless authorized in writing by NEEDL.

2. Product Description & Intended Use

NEEDL kits contain sterile, single-use medical-grade units intended for clean handling, organization, and storage in personal or professional contexts where sterile single-use units are appropriate. NEEDL is not a medical device, healthcare service, or pharmacy. NEEDL does not provide medical advice, diagnosis, or treatment, and nothing on this site or in our products should be interpreted as such. NEEDL makes no representation that its products are intended to diagnose, treat, cure, or prevent any disease. Customers are solely responsible for using the product in accordance with applicable laws and any guidance from a licensed healthcare provider.

3. Orders, Pricing & Subscriptions

A. Pricing and Taxes. All prices are listed in U.S. dollars and are exclusive of applicable taxes, which will be calculated and added at checkout based on your delivery address.

B. Order Acceptance. Receipt of an order does not constitute acceptance. We reserve the right to refuse, limit, or cancel any order at our discretion — including in cases of suspected fraud, pricing or descriptive errors, quantity limits, product unavailability, restrictions under applicable state law, or where we believe the order would violate these Terms. If we cancel an order after payment has been received, we will issue a refund to the original payment method.

C. Subscription Plans (Auto-Ship & Save). If you select a subscription plan, you authorize NEEDL to charge your payment method on a recurring basis at the cadence you select (every 30, 60, or 90 days) until you cancel. By enrolling, you acknowledge that:

• Charges will occur automatically at the selected cadence;
• You will receive a reminder email at least three (3) days before each renewal;
• You may cancel, pause, or modify your subscription at any time prior to the next billing date by logging into your account or contacting support@buyneedl.com;
• Cancellation takes effect for future shipments only — orders already billed and shipped cannot be reversed;
• Subscription pricing reflects a discount available only with active enrollment; if you cancel, future one-time orders will be at standard pricing;
• Subscription pricing may be modified with at least thirty (30) days' advance notice via email.

D. California Subscribers. For California residents, the disclosures in Section 3(C) above are intended to satisfy the requirements of the California Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.). You may cancel at any time by contacting support@buyneedl.com or using the cancellation method made available in your account.

4. Shipping & Title

A. Domestic Shipping Only. NEEDL ships only to addresses within the fifty United States and the District of Columbia. We do not ship to international addresses, U.S. territories, military APO/FPO addresses, or P.O. boxes. We reserve the right to refuse delivery to any address at our discretion, including any state where the sale or possession of our products is restricted by law.

E. Lost or Stolen Packages. Packages marked delivered by the carrier are deemed delivered for purposes of these Terms. NEEDL is not responsible for packages lost or stolen after carrier confirmation of delivery. Customers experiencing apparent loss or theft should first contact the carrier and local authorities; NEEDL may, at its sole discretion, assist with claims but is not obligated to replace lost or stolen items.

5. All Sales Final

All sales are final. NEEDL does not offer refunds, returns, or exchanges on any product, including one-time purchases and subscription orders, except as expressly provided in our Return Policy. By placing an order, you acknowledge that you have reviewed and accepted the Return Policy and understand that you are purchasing on a final-sale basis.

Damaged, defective, or incorrect shipments may be eligible for a courtesy replacement — not a refund — as described in the Return Policy. No employee, representative, or marketing communication has authority to modify this policy on an individual basis, and any such modification must be agreed to in writing by an authorized officer of NEEDL. Promotional offers, discounts, and subscription pricing do not alter this Section 5.

6. Intellectual Property

NEEDL™ and any associated logos, taglines, and product names are trademarks of NEEDL LLC. All rights are reserved, whether or not such marks are accompanied by a ™ or ® symbol. You may not copy, reproduce, modify, distribute, publicly display, sell, or create derivative works of any portion of the site or its content without our prior written consent. Limited fair use — such as linking to our site or sharing content on personal social media with proper attribution — is permitted at our discretion and may be revoked at any time.

7. Reviews & User Submissions

A. License Grant. By submitting a review, comment, photograph, video, or other content ("User Submission") to NEEDL, you grant NEEDL a non-exclusive, perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the submission in any media and for any purpose, including marketing, advertising, and operations, with or without attribution.

B. Your Representations. By submitting, you represent and warrant that: (i) the submission reflects your honest opinion and genuine personal experience with the product; (ii) you are the original author and have all necessary rights to grant this license; (iii) the submission does not infringe any third party's intellectual property, privacy, or other rights; (iv) the submission does not contain false, misleading, defamatory, threatening, obscene, or unlawful content; and (v) you have not received compensation, free product, or other incentive in exchange for the submission, except as expressly disclosed in accordance with Federal Trade Commission Endorsement Guidelines (16 CFR Part 255).

C. Moderation. NEEDL reserves the right, at its sole discretion, to edit submissions for clarity or length, decline to publish submissions, or remove already-published submissions at any time without notice.

D. No Endorsement. Views expressed in User Submissions are those of the contributor and do not necessarily reflect the views of NEEDL. NEEDL does not adopt or endorse any User Submission.

E. Indemnification for User Content. You agree to indemnify, defend, and hold harmless NEEDL from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising out of or related to your User Submissions, including claims of defamation, infringement, or violation of consumer-protection laws.

8. Disclaimer of Warranties

The NEEDL website and all products, services, and content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, except where prohibited by law.

To the maximum extent permitted by applicable law, NEEDL and its affiliates, officers, employees, agents, suppliers, and licensors disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Warranties arising from course of dealing, course of performance, or trade usage;
• Warranties that the site will be uninterrupted, secure, error-free, or free of viruses or other harmful components;
• Warranties regarding the accuracy, reliability, completeness, or timeliness of any content on the site;
• Warranties that any particular outcome or result will be achieved from use of our products.

NEEDL specifically disclaims any warranty that the products are suitable for any medical, therapeutic, diagnostic, or treatment purpose. The products are sold solely as organizational and storage items.

No advice or information, whether oral or written, obtained from NEEDL or through the site creates any warranty not expressly stated in these Terms.

Some states do not allow the exclusion of certain implied warranties; in such states, the foregoing exclusions apply to the maximum extent permitted by law.

9. Limitation of Liability

A. Cap on Damages. To the maximum extent permitted by applicable law, the aggregate liability of NEEDL and its affiliates, officers, directors, employees, agents, suppliers, and licensors arising out of or relating to your purchase or use of NEEDL products, the website, or these Terms — whether in contract, tort, strict liability, or any other legal theory — shall not exceed the greater of (i) the amount you paid for the specific order giving rise to the claim, or (ii) one hundred dollars ($100).

B. Excluded Damages. In no event shall NEEDL or any of the parties listed in Section 9(A) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, loss of goodwill, or any damages arising from personal injury or property damage related to the use, misuse, or inability to use our products — even if NEEDL has been advised of the possibility of such damages.

C. Medical Use Exclusion. Because NEEDL products are not intended for medical use and are sold solely as organizational and storage items, NEEDL specifically disclaims any liability for damages arising out of any medical, therapeutic, or healthcare-related use of the products, including injury resulting from use that is inconsistent with the intended purpose described in Section 2.

D. Essential Basis. The limitations of liability in this Section 9 are a fundamental element of the bargain between you and NEEDL, and these Terms would not be provided to you absent these limitations. You acknowledge that the pricing of our products reflects these limitations.

E. State Variations. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, or for personal injury, so some of the above limitations may not apply to you. In such states, NEEDL's liability is limited to the maximum extent permitted by law.

10. Governing Law & Venue

A. Governing Law. These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, your purchase of NEEDL products, or your use of the NEEDL website, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles or rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

B. Exclusive Venue. Subject to Section 11 (Dispute Resolution & Arbitration), any judicial action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You and NEEDL each consent to the personal jurisdiction of such courts and waive any objection based on forum non conveniens or inconvenient forum.

11. Dispute Resolution & Arbitration

A. Informal Resolution. You and NEEDL agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiation prior to initiating arbitration. The party initiating the dispute shall provide written notice to the other party describing the nature and basis of the claim and the relief sought. If the dispute is not resolved within thirty (30) days after such notice, either party may proceed to arbitration as set forth below.

B. Binding Arbitration. Except as provided in Section 11(D), any dispute, claim, or controversy arising out of or relating to these Terms or your purchase or use of NEEDL products shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, with arbitration conducted in Miami-Dade County, Florida, or, at your election, in your county of residence. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

C. Class Action Waiver. You and NEEDL each waive the right to bring or participate in any class action, collective action, consolidated action, or representative proceeding against the other. The arbitrator may not consolidate the claims of multiple parties and may award only individual relief. If this class action waiver is held unenforceable, then the entirety of this Section 11 shall be null and void, and the parties shall litigate disputes in court as set forth in Section 10.

D. Exceptions. The following claims are not subject to arbitration: (i) claims brought in small claims court for individual relief within that court's jurisdictional limits; (ii) claims by NEEDL for injunctive or other equitable relief to protect its intellectual property; and (iii) claims that may not lawfully be subject to arbitration under applicable law.

E. Arbitration Costs. Each party shall bear its own costs and attorneys' fees in arbitration, except as otherwise provided by the AAA Consumer Arbitration Rules.

F. Opt-Out. You have the right to opt out of this arbitration provision by sending written notice to support@buyneedl.com within thirty (30) days of your first acceptance of these Terms. The notice must include your name, address, email used at purchase, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

G. Survival. This Section 11 shall survive termination of these Terms or your relationship with NEEDL.

12. Severability, Entire Agreement & Miscellaneous

A. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to render it enforceable while preserving the parties' original intent.

B. Entire Agreement. These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any order confirmation we provide, constitute the entire agreement between you and NEEDL with respect to your use of the website and our products, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

C. No Waiver. The failure of NEEDL to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NEEDL.

D. Assignment. You may not assign or transfer any of your rights or obligations under these Terms without NEEDL's prior written consent. NEEDL may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

E. Headings. Section headings are provided for convenience only and shall not affect the interpretation of these Terms.

13. Changes to These Terms

NEEDL may update these Terms from time to time in our discretion. The "Effective" date at the top of these Terms will reflect the most recent revision.

For material changes — meaning changes that significantly affect your rights or obligations — we will provide at least thirty (30) days' notice prior to the effective date via email to active customers and through a prominent notice on the NEEDL website. Material changes will not apply retroactively to disputes arising before their effective date.

For non-material changes (including clarifications, typographical corrections, and reorganization), the updated Terms shall take effect immediately upon posting.

Your continued use of the NEEDL website or services following the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the website and services. If you have an active subscription, you may cancel without penalty prior to the effective date of any material change.

14. Certifications and Manufacturing

Any certifications referenced on the NEEDL website or in marketing materials — including but not limited to ISO 13485, CE marking, and NSF certifications — are held by NEEDL's contracted manufacturing partner, not by NEEDL LLC. NEEDL does not represent itself as the holder of these certifications and makes no warranty, express or implied, that NEEDL itself is a certified entity.

Products are manufactured in facilities that maintained these certifications at the time of production. NEEDL relies on representations from its manufacturing partner regarding ongoing certification status and does not independently audit or verify certification compliance.

The presence of certification references on the NEEDL website does not constitute a representation that the products are certified medical devices, are regulated by any specific government agency, or are intended for any medical, therapeutic, or diagnostic use. See Sections 2 and 8 for additional product-use and warranty disclaimers.

Information regarding NEEDL's manufacturing partner and certification scope may be available upon written request to support@buyneedl.com, at NEEDL's discretion and subject to applicable confidentiality obligations.

B. Legal Notices. Any legal notices required or permitted under these Terms — including those required for dispute resolution under Section 11 — must be sent in writing by email to support@buyneedl.com, addressed to NEEDL LLC.

Notices sent by email shall be deemed delivered on the next business day.

C. Business Entity. NEEDL is operated by NEEDL LLC, a Florida limited liability company. Information regarding the legal entity, including formation jurisdiction and registered agent, is available upon written request.
